Legal Scan

See your company the way an investor or a bank would.

The Legal Scan is a systematic review of your company against the criteria an investor or a lender applies. You receive a written report with prioritised findings and proposed actions, and you go through it with the partners.

Who it is for

Owner-managed businesses that want to know where they stand legally, especially before seeking financing, bringing in a new partner, selling the company or preparing a succession. It is also a sensible first step for a company that has grown without a standing legal adviser.

What is reviewed

We look at the areas that an outside party examines before committing money or signing a deal:

  1. 01

    Corporate organisation and corporate formalities

  2. 02

Contracts with customers, suppliers and partners

  3. 03

    Employment relationships

  4. 04

    Regulatory compliance and data protection

  5. 05

Real estate, licences and pending cases

01

What you receive

A written report that ranks the findings by priority and proposes specific actions for each, followed by a meeting with the partners to discuss it. The aim is a clear list of what needs attention now, what can wait, and what is already in order.

02

How the engagement works

After an initial conversation we agree the scope of the review and the documents we will need. The fee is agreed in advance and in writing, before work starts. We then review the documents, ask follow-up questions where needed, and deliver the report. Clients of the firm's Proactive Support receive an annual refresh of their Legal Scan.

FAQ

Questions clients ask

What is a legal health check for a business?

It is a structured review of a company's legal position: its corporate records, contracts, employment arrangements, compliance, property, licences and pending cases. The Legal Scan reviews these by the criteria an investor or bank would apply.

Should I do a legal review before seeking a bank loan or an investor?

It helps. Lenders and investors run their own due diligence. Reviewing the company first lets you identify and address issues on your own timetable rather than during negotiations.

What will I get at the end of a Legal Scan?

A written report with the findings ranked by priority and proposed actions, and a meeting with the partners to go through it.

Is a Legal Scan the same as due diligence?

It uses similar criteria, but it is carried out for the company itself rather than for a buyer or lender, so the findings serve your own planning.
